Terms and Conditions

1. Acceptance, scope and hierarchy

By checking an acceptance box at registration or checkout, or otherwise affirmatively accepting these Terms, you ("Learner," "you") agree to them. If you do not agree, do not register, purchase, or use the Platform. Where acceptance is required by law, passive browsing alone does not establish agreement.

1.1 These Terms govern access to the Modyfi Learning Platform hosted on LearnWorlds ("Platform") and courses, recordings, workshops, peer groups, memberships, fellowships, downloadable tools, and related educational materials (collectively "Content"). They apply to free and paid offerings unless a written product-specific agreement states otherwise.

1.2 The education division is distinct from Modyfi’s clinical services. Purchasing educational products does not create a patient-provider, employment, supervision, referral, payer-network, agency, or partnership relationship.

1.3 A course page, order summary, and any expressly accepted program-specific agreement may set price, duration, deliverables, meeting frequency, eligibility, payment schedule, cancellation rules, certificate criteria, or service scope. In a direct conflict, the expressly accepted program-specific agreement controls for that offering; otherwise these Terms control. Marketing descriptions do not enlarge written contractual commitments unless expressly incorporated.

1.4 Credentialing, administrative support, and practice-services arrangements sold separately require an applicable written services agreement. A complimentary benefit is limited to the scope and period disclosed at enrollment; it is not an open-ended entitlement.

2. Definitions

"Account" means your individual login and user profile. "Course Access Period" means the fixed interval shown before purchase or enrollment. "Installment Plan" means payment of a fixed total purchase price over several scheduled charges, not an automatically cancelable subscription. "Subscription" means recurring payment for ongoing access that renews until canceled. "Program Agreement" means an additional agreement expressly accepted for a designated offering. "User Content" means materials you submit through permitted Platform features. "Community Features" means discussion boards, chats, assignments, and interactive sessions.

3. Eligibility and professional status

3.1 Users must be at least 18 years old and legally able to contract. Certain programs may require active professional licensure, credentials, experience, or additional verification.

3.2 You must supply accurate identity, billing, and credential information and promptly update material changes. Modyfi may request verification and deny or suspend restricted enrollment if requirements are not met.

3.3 Completing a program does not confer licensure, prescriptive authority, professional certification, accredited CE/CME credit, clinical privileges, payer participation, or employment. You remain responsible for applicable professional laws, supervision rules, and scope-of-practice requirements.

4. Accounts and security

4.1 Accounts are individual and nontransferable; sharing login credentials, sharing paid access, reselling access, or permitting concurrent unauthorized use is prohibited.

4.2 You are responsible for protecting credentials and notifying info@modyfihealth.com promptly about suspected unauthorized use. Modyfi may require password resets or implement reasonable security restrictions.

4.3 Modyfi may suspend accounts to protect security, prevent fraud, enforce payment obligations, or address material violations, subject to applicable law and contractual obligations.

5. Offerings and delivery

5.1 Modyfi may offer self-paced courses, live lectures, workshops, peer case groups, cohort programs, memberships, a Fellowship or Residency curriculum, certificates, and credentialing or administrative support. Each product’s listing will identify its material features, prerequisites, price, and access duration.

5.2 Live-session schedules, faculty, and curriculum may be reasonably adjusted. If Modyfi materially cancels a purchased service or cannot provide substantially equivalent delivery, it will offer an appropriate remedy required by law or the applicable Program Agreement.

5.3 Case consultation and peer education are not a substitute for case-specific licensed supervision unless a separate written arrangement explicitly establishes that relationship.

6. Fixed access periods and expiration

6.1 Each one-time educational purchase includes only the Course Access Period clearly disclosed at checkout (for example, 12 or 24 months). The period begins on the enrollment or purchase date as specifically stated in the checkout disclosure. No purchase includes lifetime access unless expressly promised in a binding transaction-specific agreement.

6.2 When the access period ends, access expires automatically, whether or not you completed the curriculum; Modyfi may offer optional paid renewal or discretionary extension. Completion deadlines and access expiration are different.

6.3 Membership access is tied to an active subscription rather than a fixed course expiration. Program-specific terms govern Fellowship access after withdrawal or completion. Content availability may also depend on third-party licenses, subject to Modyfi’s existing commitments and applicable law.

6.4 Access rights previously promised to existing customers remain subject to the terms governing their original purchase; revised descriptions apply prospectively and do not automatically extinguish prior entitlements.

7. Prices, recurring charges, installments and collections

7.1 Prices and taxes are disclosed at checkout in U.S. dollars unless explicitly stated otherwise. By completing a purchase, you authorize the applicable processor to charge the displayed amount and associated disclosed taxes and fees.

7.2 For an Installment Plan, the full purchase price is owed at the time of purchase, and installments are an accommodation for paying that price. Withdrawal, nonattendance, account closure, or a decision not to use Content does not automatically cancel future installments. The exact total, number of installments, charge dates, and consequences of default must be shown and accepted at checkout or in a Program Agreement.

7.3 For Subscriptions, Modyfi will disclose the recurring amount, frequency, renewal terms, applicable trial terms, and cancellation method before purchase. Subscription charges renew until properly canceled. Cancellation stops future renewals prospectively; it does not cancel amounts already accrued. Statutory cancellation and renewal rights remain unaffected.

7.4 If a charge fails, Modyfi may retry the disclosed payment method as permitted by processor rules and applicable law, request an updated method, pause access, and seek unpaid amounts. Late fees, interest, accelerated balances, third-party collection costs, and attorneys’ fees apply ONLY if separately and specifically disclosed in the purchase or Program Agreement and enforceable under applicable law; no undisclosed fee is authorized by this paragraph.

7.5 Modyfi may dispute improper chargebacks using payment records, acceptance logs, and proof of delivery. Nothing restricts your lawful rights to dispute unauthorized or erroneous charges or to obtain mandatory consumer remedies.

7.6 Payment processing is performed by third parties. Modyfi does not require you to provide full payment-card numbers directly in discussion posts, assignments, or messaging features.

8. Cancellation and refunds

8.1 Digital courses: Except as required by applicable law or an expressly applicable guarantee, purchases become final and nonrefundable when you first access, stream, open, or download paid course content. If you have not accessed the course, you may request cancellation within seven (7) calendar days of purchase; an approved request will result in a refund of the price paid.

8.2 Live programs: After the first live session, opening of member-only materials, or another clearly disclosed start-of-performance trigger, fees are generally nonrefundable, subject to statutory rights and the specific product terms. A learner’s absence or scheduling conflict alone does not create a refund entitlement.

8.3 Subscription cancellation takes effect at the end of the current paid billing period unless applicable law requires otherwise. Prior paid periods are generally not refunded; access continues through the paid period absent lawful suspension for cause.

8.4 Fellowship/Residency payments, withdrawals, refunds, and any fixed-term commitments are controlled by an expressly accepted Fellowship/Residency Program Agreement.

8.5 If Modyfi materially fails to deliver the purchased product as described or makes a billing error, contact suport@modyfihealth. Modyfi will investigate and provide refunds or other remedies where required or appropriate. Approved refunds are generally returned through the original payment channel, subject to payment-processor timing.

8.6 No provision waives nonwaivable cancellation, refund, auto-renewal, or consumer-protection rights.

9. Educational intellectual property and permitted use

9.1 Courses, designs, curricula, frameworks, audiovisual materials, templates, assessments, and other proprietary Content are owned by Cormy Corp, Modyfi, and/or their respective licensors as applicable. Cormy Corp licenses certain educational intellectual property to Modyfi under a separate agreement. Nothing in these Terms transfers ownership to learners.

9.2 During the applicable access period, Modyfi grants you a limited, revocable, nonexclusive, nontransferable license to access purchased Content for your personal professional education and to apply knowledge and concepts learned in lawful clinical or professional practice.

9.3 You may use specific downloadable clinical tools or patient-facing templates in your own practice only when those tools are clearly marked as approved for clinical use, and only within the license scope displayed with the material. You may not sell, sublicense, publicly distribute, publish, present as your own, incorporate into paid training, or create competing educational products from proprietary Content.

9.4 Without express written authorization, you may not copy or redistribute entire lessons, screen-record protected Content, remove ownership notices, share access credentials, scrape materials, train or fine-tune AI systems on Content, or upload substantial proprietary materials into external AI services. General use of independently learned ideas or clinical knowledge is not prohibited.

9.5 Unauthorized use may result in access termination and lawful remedies. Content may contain third-party material subject to additional stated restrictions.

10. User submissions, community conduct and confidentiality

10.1 You retain ownership of your original User Content. You grant Modyfi a limited nonexclusive license to host, process, display to authorized participants, and retain User Content as reasonably necessary to operate the purchased educational service, maintain records, and comply with law. This license is not an unrestricted commercial right to republish identifiable personal material.

10.2 Do not post harassment, threats, discriminatory abuse, unlawful solicitations, malware, misleading credentials, competitors’ advertisements without permission, or another participant’s private communications without authorization.

10.3 Case examples must be appropriately de-identified before discussion, upload, or recording. Do not upload identifiable patient information or protected health information (PHI). LearnWorlds is not designated for patient records. Removing names alone may not adequately de-identify a case.

10.4 Learners must treat confidential peer discussions, faculty materials, and private group communications as confidential and may not disclose them outside the authorized group except when legally required. This obligation continues after enrollment ends.

11. Live-session recording, transcripts and AI tools

11.1 Modyfi may record designated lectures, webinars, workshops, and eligible live educational sessions for replay, quality, accessibility, and educational delivery only after providing appropriate advance notice and obtaining any consent required by applicable recording, privacy, or publicity laws.

11.2 Certain clinical case discussions or other sensitive segments may be paused, excluded, edited, or omitted from recordings. Participants must not disclose identifiable patient data, whether a recording is active or not.

11.3 Participation may cause your voice, image, display name, or chat contributions to appear in a recording. Product-specific notices should explain intended audiences, replay duration, whether a participant may disable audio/video, and whom to contact regarding concerns.

11.4 Learners may not independently record, transcribe, screen-capture, redistribute, or use automated meeting bots or AI assistants in sessions without Modyfi’s express permission and legally required participant consent.

11.5 Modyfi’s recording practices remain subject to an applicable privacy notice, state recording-consent laws, and specific program disclosures. These Terms alone do not constitute blanket consent where separate consent is required.

12. Education disclaimers; professional discretion

12.1 Content is educational, not personalized medical, psychiatric, legal, tax, or financial advice. No patient-provider relationship is formed. Clinicians independently assess current evidence, individual patient needs, and governing laws before implementing any clinical technique.

12.2 Content may evolve as evidence, clinical standards, technology, and regulations change. Modyfi does not promise particular clinical, business, licensing, payer-panel, reimbursement, employment, revenue, or career outcomes.

12.3 If seeking urgent medical care, use appropriate emergency services rather than the Platform. For a mental health crisis in the United States, call or text 988; for emergencies, call 911.

13. Certificates and accreditation

13.1 When a course expressly provides a certificate, Modyfi may condition issuance on stated attendance, completion, assessment, professional-conduct, payment, or competency requirements.

13.2 Completion, Fellowship/Residency completion, and attendance/participation certificates document the described program achievement only. They are not professional licenses, board certification, academic degrees, clinical privileges, or evidence of independent practice authority.

13.3 No CEU, CME, or other accredited continuing education credit is offered unless the product page expressly identifies the approving accreditor, credit type, and credit amount. Some products offer no certificate.

14. Credentialing and administrative support

14.1 Complimentary credentialing support included with a qualifying program is limited to the disclosed eligible applicants, specified tasks, cooperation requirements, and service window. Unless expressly stated, the benefit has no cash value, is nontransferable, and is not independently refundable.

14.2 Standalone paid credentialing, enrollment, billing, and administrative services require a distinct written services agreement specifying deliverables, responsibility for information and applications, fees, authorization, data handling, and termination.

14.3 Modyfi cannot guarantee insurer approval, network status, enrollment dates, payer reimbursement, contract terms, billing collection, or regulatory outcomes. You must provide complete accurate records and cooperate with verification requests.

14.4 A complimentary benefit does not expand any Program Agreement or obligate Modyfi to provide open-ended follow-up, recredentialing, or support after the stated service period.

15. Warranties and availability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT FOR ANY WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED. Temporary outages, necessary maintenance, and third-party provider limitations may occur. This disclaimer does not excuse failure to deliver material contractual promises or override mandatory consumer remedies.

16. Limitation of liability

16.1 TO THE FULLEST EXTENT PERMITTED BY LAW, MODYFI, ITS OFFICERS, PERSONNEL, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE, OPPORTUNITY, OR DATA, ARISING FROM THE PLATFORM OR CONTENT.

16.2 TO THE EXTENT ALLOWED BY LAW, THEIR AGGREGATE LIABILITY FOR A CLAIM IS LIMITED TO THE AMOUNT YOU PAID MODYFI FOR THE PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT, OR $100 FOR A FREE PRODUCT.

16.3 These limits do not apply where prohibited by law, including legally nonwaivable claims or liability for fraud, willful misconduct, or gross negligence where such limitations are impermissible. A separate Program Agreement may specify different limits for that program.

17. Indemnification

To the extent permitted by applicable law, you agree to defend and indemnify Modyfi and its personnel against third-party claims and reasonable expenses arising from your unlawful User Content, infringement, material misrepresentation of credentials, or your unauthorized disclosure of patient information, except to the extent attributable to Modyfi’s own misconduct or negligence. This clause does not require a consumer to indemnify Modyfi for its own breach of contract.

18. Privacy and third-party services

18.1 Modyfi collects and processes learner registration, payment-related, attendance, progress, certificate, support, and session participation information as explained in a dedicated learner privacy notice . A clinical HIPAA notice should not be assumed to fully describe these education-platform data practices.

18.2 LearnWorlds and payment, communications, and video vendors may provide technical services under applicable contracts and privacy notices. Modyfi will not knowingly sell learners’ personal information as described by the applicable privacy notice, subject to legally required definitions and disclosures.

18.3 Do not enter patient records or PHI in Platform forms, user profiles, communities, chats, or assignments. Where data of a type requiring special safeguards must be processed, a separate approved workflow and appropriate agreements are required.

18.4 Third-party links are offered for convenience and are governed by their own applicable terms.

19. Dispute resolution; individual arbitration; class waiver

19.1 Delaware law governs these Terms except where applicable law requires otherwise. Nonwaivable consumer protections in your jurisdiction remain applicable.

19.2 Before filing a claim, either party should send a written notice describing the dispute and requested relief to the contact in Section 22 and attempt informal resolution for thirty (30) days, except where urgent relief is necessary or law prohibits delay.

19.3 Subject to applicable law and the exceptions below, disputes arising from these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules for consumer matters (or applicable commercial rules if the dispute is properly classified as commercial). The parties may use remote proceedings when permitted under the rules. Consumer costs and fee allocations will comply with AAA rules and applicable law.

19.4 Either party may instead pursue a qualifying individual claim in small-claims court. Either party may seek provisional injunctive relief in a court with jurisdiction to protect confidential information or intellectual property, without waiving arbitration of the underlying dispute where permissible.

19.5 TO THE FULLEST EXTENT PERMITTED BY LAW, CLAIMS WILL PROCEED ONLY ON AN INDIVIDUAL BASIS, NOT AS CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDINGS. If this waiver is unenforceable as to a particular claim, the consequences will be determined under applicable law.

19.6 This arbitration agreement is governed by the Federal Arbitration Act to the extent applicable. The arbitration clause and any required consumer disclosures should be reviewed for compliance with AAA administration standards before publication.

20. Suspension, termination and account closure

20.1 You may request account closure using support@modyfihealth.com. Closure does not automatically cancel an outstanding Installment Plan or other amounts validly owed. Subscription cancellation should be completed through the available account or billing controls, or by contacting support.

20.2 Modyfi may suspend or terminate access for material violations, fraud, unlawful conduct, serious confidentiality breaches, or nonpayment, providing notice and a reasonable opportunity to cure where appropriate or required by law.

20.3 When access ends, the license to access gated Content ends. Provisions regarding accrued payment obligations, confidentiality, ownership, liability, dispute resolution, and necessary legal rights survive as appropriate.

21. Changes and general terms

21.1 Modyfi may amend these Terms prospectively. Material changes will be communicated by posting revised terms and, where appropriate or required, email or renewed affirmative consent. Changes will not retroactively reduce material entitlements already purchased unless lawfully agreed or otherwise permitted by law.

21.2 If a term is unenforceable, remaining provisions continue to the lawful extent. Delay in enforcing a provision is not waiver. You may not assign your account or purchased rights without consent. Modyfi may assign its obligations in a lawful business transaction, subject to existing contractual rights and any required notice or consent.

21.3 These Terms, purchase disclosures, and any applicable Program Agreement constitute the agreement for use of the Platform, subject to expressly incorporated policies. Electronic acceptance and records may be used as evidence of agreement in accordance with law.

22. Contact and notices

23. Third Party Rights

Nothing in these Terms and Conditions shall confer any rights upon any third party. The agreement created by these Terms and Conditions is between you and Modyfi Learning Platform.

25. Law and Jurisdiction

These Terms and Conditions and the relationship between you and Modyfi Learning Platform shall be governed by and construed in accordance with the Law of United States of America and Modyfi Learning Platform and you agree to submit to the exclusive jurisdiction of United States of America.
